These Terms of Service ("Terms") govern your access to and use of the Guana mobile application and website (collectively, the "Platform"). Please read these Terms carefully before using the Platform.
By downloading, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
Guana reserves the right to update or modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We will notify users of material changes through the app or by email at least 30 days before the new terms take effect.
Guana is a peer-to-peer ridesharing platform that connects drivers who are already traveling between destinations in Costa Rica with passengers seeking rides along similar routes. Guana facilitates cost-sharing arrangements between drivers and passengers.
Guana is NOT a transportation company, taxi service, shuttle service, or common carrier. Guana does not provide transportation services, employ or contract drivers, set fares, control routes or schedules, or assume responsibility for the conduct of any user.
Drivers who publish trips on Guana are private individuals sharing their planned journeys. The per-seat price set by drivers is a voluntary cost-sharing contribution intended to offset travel expenses such as fuel, tolls, and vehicle wear. It is not a commercial fare or fee for transportation services.
You must be at least 18 years of age to create a Guana account and use the Platform. By creating an account, you represent and warrant that you meet this age requirement.
Drivers must hold a valid driver's license issued by a recognized authority and maintain appropriate vehicle insurance as required by the laws of Costa Rica. Drivers are solely responsible for ensuring compliance with all applicable traffic laws and regulations.
You must provide accurate, current, and complete information during registration and keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
You agree to provide truthful and accurate information in your profile. Misrepresenting your identity, qualifications, or any material information may result in immediate account suspension or termination.
Identity verification is available through our verification provider. While verification is encouraged to build trust within the community, the presence of a verification badge does not constitute a guarantee by Guana of any user's character, reliability, or conduct.
All users agree to treat fellow travelers with respect and courtesy. You must not use the Platform to:
Drivers agree to operate their vehicle safely and in compliance with all applicable traffic laws. Passengers agree to arrive punctually at the agreed pickup location and to behave respectfully during the trip.
Guana reserves the right to investigate reports of misconduct and to suspend or terminate accounts that violate these standards.
Drivers publish trip details including route, date, time, available seats, and per-seat price. Passengers browse and book available trips through the Platform. Both parties may communicate through in-app messaging to coordinate details.
The per-seat price is a cost-sharing contribution set by the driver. It is intended to offset the driver's actual travel expenses and should not exceed the proportional costs of the trip divided among all occupants. Payment arrangements are made directly between the driver and passenger.
Either party may cancel a trip through the Platform. We encourage cancellations to be made as early as possible to minimize inconvenience. Repeated cancellations may affect your account standing and visibility on the Platform.
Guana does not process payments between users and is not a party to any financial arrangement between drivers and passengers.
The Guana name, logo, app design, and all associated trademarks, graphics, and content are the property of Guana and are protected by intellectual property laws. You may not use, reproduce, or distribute any Guana intellectual property without prior written permission.
By posting content on the Platform (including profile information, trip descriptions, reviews, and messages), you grant Guana a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating the Platform.
You retain ownership of your content and may delete it at any time, subject to data retention requirements outlined in our Privacy Policy.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Guana provides a platform for connecting users and does not guarantee the availability, quality, safety, punctuality, or legality of any trip. Guana is not responsible for the actions, conduct, negligence, or omissions of any user.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GUANA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY TRIP ARRANGED THROUGH IT.
Users acknowledge that ridesharing involves inherent risks associated with motor vehicle travel, including the risk of accident, injury, or death. By using the Platform, you assume these risks voluntarily.
In no event shall Guana's total aggregate liability exceed the amount you have paid to Guana (if any) in the twelve months preceding the claim.
You agree to indemnify, defend, and hold harmless Guana, its developer, officers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any trip in which you participate as a driver or passenger; or (e) any content you post on the Platform.
In the event of any dispute arising from or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at soporte@guana.app.
If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to the competent courts of Costa Rica. Both parties agree to submit to the jurisdiction of the courts of Costa Rica for the resolution of any disputes.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
You may terminate your account at any time by requesting account deletion through the app settings or by contacting us at soporte@guana.app.
Guana may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent or illegal activity, repeated user complaints, or extended inactivity.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, and indemnification.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to conflict of law principles.
Any legal proceedings arising from or relating to these Terms or the Platform shall be brought exclusively in the competent courts located in Costa Rica.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
We may revise these Terms from time to time. The most current version will always be available on the Platform with the "Last updated" date at the top.
If a revision is material, we will provide at least 30 days' notice before the new terms take effect, either through the app or by email. Your continued use of Guana after the effective date of any changes constitutes acceptance of the updated Terms.
